Terms of Service and Terms and Conditions for SponsorX

1. Acceptance of Terms

By registering, accessing, or using the Platform, you confirm that you have read, understood, and agree to these Terms, including our Privacy Policy.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts.

If using the Platform on behalf of an organization, you represent that you have authority to bind that organization.

The Platform is intended primarily for users in the United States.

3. Platform Purpose and Use

SponsorX is a marketplace that facilitates connections between sponsors and sponsees. Users may create profiles, list opportunities, submit proposals, and enter sponsorship agreements.

Permitted Use: Browse, create, or respond to opportunities and enter agreements, subject to these Terms.

Prohibited Use: You may not circumvent the Platform to avoid fees, post false information, use automated tools without permission, or interfere with the Platform.

Prohibited Content and Listings: SponsorX is a family-friendly sponsorship marketplace. You may not create, publish, link to, or upload adult, sexually explicit, pornographic, or obscene content; content that requires age verification (18+, 21+, or similar); escort or adult-entertainment services; or any material that is illegal, defamatory, hateful, violent, or likely to expose SponsorX or other users to legal or reputational harm.

Brand and inventory profiles must represent legitimate sponsorship opportunities appropriate for general audiences (including youth sports, collegiate athletics, and family events). We may remove content, reject uploads, block websites, and suspend accounts that violate this policy without notice.

4. User Accounts

You must create an account with accurate information and keep credentials secure.

We may suspend or terminate accounts for violations.

5. Sponsorship Agreements

The Platform facilitates negotiation and execution of agreements.

We are not a party to your agreements but facilitate them.

No guarantees are made regarding accuracy, performance, or outcomes.

You may not circumvent the Platform during an active campaign to avoid fees.

6. Fees and Payments

We charge fees and commissions disclosed at agreement formation.

Payments may be processed through our fintech solution or directly (with reporting obligations).

All fees are non-refundable except as required by law.

You are responsible for taxes and compliance.

7. Intellectual Property

You grant us a license to use your uploaded content to operate the Platform.

Sponsors grant sponsees limited licenses for agreed sponsorship activities.

You warrant your content does not infringe third-party rights, does not violate our content standards (including the prohibition on adult or sexually explicit material), and agree to indemnify us.

8. Confidentiality

You agree to use confidential information received on the Platform only to fulfill sponsorship agreements.

9. Data Protection and Consent

By using the Platform, you consent to the collection and use of your data as described in our Privacy Policy.

10. Limitation of Liability

To the fullest extent permitted by law, our liability is limited to the fees you paid us in the prior 12 months. We are not liable for indirect damages or disputes between Users.

11. Indemnification

You agree to indemnify us against claims arising from your use of the Platform, breach of these Terms, or infringement.

12. Termination

We may suspend or terminate accounts for violations. Certain sections survive termination.

13. Dispute Resolution

These Terms are governed by Delaware law. Disputes shall be resolved by binding arbitration in Delaware under AAA rules. You waive class actions.

14. Force Majeure

We are not liable for events beyond our reasonable control.

15. Amendments

We may update these Terms by posting the revised version. Continued use constitutes acceptance.
